PREMIUM PACKAGE LICENSE AGREEMENT

By making a Premium Package purchase, the buyer automatically becomes

bound to and accepts the following terms and conditions of the License Agreement.

TERMS AND CONDITIONS:

• All premium package licenses (leases) are sold non-exclusively and all masters

remain property of Gachoka Njoroge.

• Purchasing a premium package license gains the buyer non-exclusive rights and

Gachoka Njoroge, reserves the right to re-license or re-sell the same beat exclusively.

• The buyer receives a 320 kbps 44.1 kHz high-quality untagged MP3 file, a 16 Bit

44.1 kHz high quality untagged WAV file. Upon payment confirmation,

the buyer will be e-mailed a download link to receive these files.

• Premium package licensing rights allows the buyer to use the beat for ONE commercial project

(album, mixtape, EP, demo, etc.) with a limit of 20,000 copies sold.

• Premium package licensing rights allows the buyer to use the beat for ONE music video.

• Premium package licensing rights allows the buyer to use the beat for ONE radio station.

• Premium package licensing limit for audio streams is 500,000.

• Premium package licensing limit for video streams is 500,000.

• Premium package licensing allows for monetization and streaming (i.e. Spotify, Google Play,

Apple Music, Tidal, YouTube etc.)

• The buyer must either purchase a premium package renewal license, or upgrade to another

license to sell more than 20,000

copies, and/or increase the limit of audio and video streams.

• The licensor expressly forbids re-sale or other distribution of the producer’s composition, either

as they exist or any

modifications thereof. You (the customer) cannot sell, loan, rent, lease, assign, remix, re-

arrange, remove any

melodies, instruments, drum programming or transfer all or any of the products sold or their

rights to another person

(example – Record Label, another production company, another producer, another artist), or for

use in any competitive product.

• The licensee understands that the licensor maintains 100% copyright & ownership of the

original instrumental composition.

• Licensee cannot use beat compositions as background element in TV, Film & DVD / computer

game projects without obtaining written consent & or another license agreement.

• Licensee must include on all productions the producer’s name.

• All beats used must be credited as follows: "produced by Gachoka Njoroge” or "prod. by

Gachoka Njoroge”.

• Using any Gachoka Njoroge’s instrumental without giving proper production credit is NOT

permitted.

• This document serves as the standing agreement between the buyer and Gachoka Njoroge.

In the event that someone buys exclusive rights to the beat you

have licensed non-exclusively, your rights shall stand per your license agreement.

• Any usage not explicitly allowed by this license, including but not limited to any

usage by an unlicensed individual or organization, will be prosecuted.
